Coordinated support for high-value property transactions, covering the property, land rights, ownership structure and documents needed to complete the deal.

The ownership, banking and tax questions around one high-value property transaction proved difficult to coordinate. ARG mapped the issues, brought the relevant evidence and advisers together around one plan, and created a shared checklist with consistent instructions across the transaction.
That experience reflects the practical challenge behind a confidential luxury purchase in Bulgaria. The price of the property is only one part of the assessment. The legal object being acquired, the buyer’s status and any planned residence route can change the title analysis, the required evidence and the structure of the next step.
ARG can help when you need to
Identify the buyer’s nationality or company structure and whether the title includes land. Building ownership, building rights and agricultural land require different checks.
Provide the ownership deed, cadastral identifiers and available history. Every apartment, plot, garage and associated right must match the proposed transaction.
Describe whether the asset will be a home, office, rental or business premises. Check permitted use, commissioning and any approvals needed for the actual activity.
Explain each source of the price and allow time for bank checks. If borrowing or selling investments, establish when the funds can actually be released.
“Luxury” describes a market position, not a separate category of clean title or construction compliance. A valuable home often includes features that need their own documentary review: landscaped land, terraces, pools, roof space, parking, staff accommodation, private roads and shared leisure facilities. The price should reflect rights you acquire and can use, rather than facilities shown in a brochure but retained by another owner.
Check access throughout the year and the legal arrangements for the road, gates and utilities. If a complex operator provides security, landscaping or amenities, review the management agreement, charging formula, term, termination rights and the consequences of a change of operator. Ask which facilities are common property and which belong to a separate commercial company. An attractive service package can become an expensive dependency if access is not secured on the terms the buyer expects. Registry Agency: property certificates.
An independent technical review should cover the expensive systems: waterproofing, heating and cooling, glazing, lifts, pool equipment, drainage and building automation. Match installation warranties and maintenance records to the actual equipment. The handover inventory should identify included furniture and equipment precisely, with a process for defects and missing items, rather than relying on photographs from viewings.
Privacy arrangements must also be legally sound. A company or representative can assist administration but does not remove beneficial-owner disclosure or bank checks. Consider the purchase, annual running costs, personal use, later letting and family succession together. ARG coordinates the legal, technical and administrative specialists needed for that decision and keeps the purchaser's approval of the price, inclusions and outstanding conditions explicit before completion.
Property ownership and immigration permission are separate questions. If relocation is part of the purchase plan, establish the residence ground and its complete conditions before treating the transaction as a route to living in Bulgaria. The property price alone does not establish entitlement to a visa or residence permit.
In Bulgaria, an apartment, the building, the plot underneath it and a right to build on somebody else's land can be separate legal interests. A listing that promises a house with a garden does not establish that the seller owns both. A parking space may be a separate property, an ideal share of a garage or only an agreed right of use. These differences affect resale, mortgage security and who can prevent you using an area you thought was included.
For a foreign buyer, identify the land element before choosing the purchaser. Article 22 of the Constitution governs acquisition of land by foreign persons through the applicable EU-accession arrangements, an effective international treaty or inheritance by law. Buying a building is not the same question as acquiring the land. A residence card alone does not settle the issue. Agricultural land also has a separate legal regime and needs its own eligibility and use analysis. Constitution, Article 22.
Ask for the complete title deed and cadastral documents, including annexes, garage and storage identifiers, shares in common parts and any building right. Compare that legal description with the floor plan, advertisement and proposed price. If a Bulgarian company is being considered as owner, review its ownership chain and the particular land restrictions before incorporation; a company is not a universal answer for every plot. ARG coordinates this classification before the purchaser pays a reservation fee, so the agreement describes the rights that can actually be transferred.
An ideal share is a fraction of the ownership right, not necessarily an exclusively owned physical corner of the plot or garage. If you expect sole use of a garden or parking area, examine the separate legal basis for that use and its effect on future owners. Ask who can change the arrangement and whether access depends on another property. These questions matter even when the fraction and the purchase price are clearly stated in the deed.
The Bulgarian Property Register records deeds and other registrable acts affecting real estate. The cadastre identifies the physical and administrative description of the property. They answer different questions: a cadastral scheme is not, by itself, proof that the advertised seller has an unchallengeable title. Review the acquisition deed, the preceding ownership documents where needed and the registration entries together.
A certificate of encumbrances, commonly called an удостоверение за тежести, reports the relevant registered rights and burdens within the search requested. The Registry Agency requires identifying details, ownership documents and an up-to-date cadastral scheme or sketch for a property certificate. Its usefulness depends on correct property descriptions, owner names, predecessors and the period covered. An old address, changed plot number or incomplete ownership chain can require additional searches rather than a confident conclusion from one clean certificate. Registry Agency: property certificates.
Practical review should identify mortgages, attachments, registered claims, rights of use, leases and restrictions that matter to the transaction. Some issues arise outside an ordinary register extract: marital ownership, inheritance disputes, possession by another person or invalid authority to sign. Ask the seller for documents explaining each change of ownership instead of accepting a verbal assurance that the notary will resolve everything at completion.
ARG coordinates the document collection and the legal review with the appropriate professional partner. The result should say which entries must be removed, which rights will remain after purchase and which missing records prevent the transaction from proceeding. Update time-sensitive searches close to signing; a certificate describes a position at a particular time, not a permanent guarantee.
A mortgage should be treated as a secured creditor's right over the property, not merely a debt belonging to the seller. Paying the seller does not automatically remove the registered security. If the deal depends on clearing a mortgage, the lender's settlement figure, payment instructions, release documents and registration of the cancellation must fit the completion sequence.
Ask who receives each part of the price and what evidence triggers the next payment. A lender may require direct payment of an agreed amount before issuing its consent. The buyer needs a written arrangement addressing any shortfall, interest accruing before payment and the time needed to register the cancellation. Where a loan covers a development, obtain a release arrangement for the particular unit and associated rights; a promise that the entire project loan will eventually be repaid is not equivalent. Bulgarian Registration Rules.
An attachment, registered lawsuit or right of use requires a different assessment. It may prevent the intended transfer, preserve another person's ability to enforce against the asset or allow someone to occupy it after the buyer becomes owner. Removing one mortgage does not dispose of unrelated entries. The underlying instrument and its legal effect must be reviewed, not just the word used in a search result.
For a financed purchase, coordinate your own lender's conditions with those of the seller's lender. Otherwise the two banks may each expect the other step to happen first. ARG helps organise the completion requirements, while the relevant lawyers, lender and notary settle the legal and payment documents. Keep the final cancellation and registration evidence with the acquisition deed for future financing or resale.
The name appearing on an acquisition document may not tell the whole matrimonial-property story. Under the Bulgarian statutory community regime, rights acquired during marriage through joint contribution can be common property even where only one spouse appears in the deed. Personal property, agreed separation and a valid matrimonial agreement may produce another result. An international marriage requires a separate applicable-law assessment rather than an automatic assumption that Bulgarian community rules govern.
Before buying, selling, gifting or pledging an asset, establish when and how it was acquired, the marriage dates and the relevant property regime. Documents showing inheritance, a gift or the use of personal funds may be material. If the home is the family home, additional consent or protection questions may arise even where ownership itself is personal. A spouse's consent is not interchangeable with a power of attorney to sign for that spouse. Bulgarian Family Code.
For a divorce, death or succession plan, distinguish the surviving or former spouse's own property rights from their entitlement to inherit or receive a division. Only the deceased's share belongs to the estate. Calculating inheritance on the entire family property can therefore produce the wrong answer before the inheritance rules are even applied.
Provide marriage and divorce records, any matrimonial agreement, acquisition deeds and the evidence of funding. Resolve differences in names or civil-status documents early, particularly if the events occurred abroad. ARG coordinates the family and property questions with the legal partner so the transaction identifies every necessary owner or consenting person and the document is not prepared on an incomplete account of the family position.
Tell us where you live, how your business works and what you want to change. We will help you identify the questions to resolve and the next steps to consider.
In Bulgarian property transactions, Act 14, Act 15 and “Act 16” describe different construction milestones. They are not interchangeable assurances that a home is ready to occupy. Act 14 relates to acceptance of the structure. Act 15 records the participants' assessment of completion and readiness for acceptance, including unfinished or defective work. Neither alone is the final permission to use the building.
The final commissioning route depends on the construction category under the Spatial Development Act. For categories one to three, the procedure leads to a use permit through the construction-control authority. Categories four and five use a commissioning certificate issued by the competent permitting authority. Advertising often calls either result “Act 16”, so request the actual permit or certificate and confirm that it covers your unit, the relevant stage and the proposed use. Ministry guidance on commissioning.
This matters when a space marketed as a home is recorded as an office, studio or another nonresidential premises, or when an extension, terrace enclosure or pool differs from the approved project. A physical inspection should be matched with the approved plans and any lawful amendments. Utilities connected for construction work do not establish that residential occupation is permitted.
Before setting a moving date or accepting a tenant, identify any unfinished infrastructure, permanent electricity and water arrangements, access works and conditions attached to commissioning. A qualified technical specialist assesses the building's physical condition; the legal review establishes the documentary permissions. ARG coordinates those workstreams so you know which issue requires a seller remedy, additional consent, price adjustment or a different timetable.
A reservation form, preliminary agreement and final notarial deed perform different jobs. The first two may create binding payment or contractual duties even though they do not themselves complete the ordinary transfer of real estate. The label “deposit” does not explain whether a payment is refundable, credited to the price or retained if a party withdraws. Read the actual conditions and identify the recipient's right to receive the money.
The agreement should connect the price and payment dates to a sufficiently precise property description, the seller's authority, the expected state of title and the documents needed for completion. If financing, a mortgage release, a legal review or a building milestone is essential, put that dependency in the agreement. A verbal promise that a failed loan application will release the buyer offers little practical protection when the written document says the opposite. Notaries and Notarial Practice Act.
Allocate the consequences of delay and non-performance. State how notices are delivered, when a defect must be remedied, which amounts are repayable and when termination is available. A penalty clause is useful only if the trigger is clear and the obligation can be enforced against a solvent counterparty. For a company seller, check that the contracting company is the owner or has a documented right to sell; a familiar trading brand is not sufficient identification.
ARG coordinates review of the transaction papers and the unresolved conditions before you commit funds. Supply every version and annex, including broker terms, furniture schedules and side letters. Read them together: a protective clause in one document can be undermined by an inconsistent payment commitment in another.
Completion has several distinct results: the deed is executed in the required form, the purchase price is paid under the agreed conditions, the deed is registered, and possession is delivered. These events do not always occur at the same moment. A practical completion plan names the document, responsible person and condition for each step, especially where a lender or representative participates.
The notary checks the transaction within the notarial procedure; your independent legal and technical review should already have addressed the commercial and property risks. Arrange translation or interpretation where required so the person signing understands the Bulgarian instrument. Confirm identity, marital-status information, corporate authority and any power of attorney in advance rather than discovering a formal defect on the planned signing day. Notaries and Notarial Practice Act.
For the payment, verify the beneficiary and account details through an established contact, including any lender settlement or agreed safeguarded payment arrangement. If a notarial special account or bank escrow is used, its release conditions must be agreed expressly. Do not assume that mentioning escrow in correspondence creates an operational account or obliges the holder to release funds on the conditions you expect.
Delivery deserves its own written record. Note keys, access cards, meter readings, furniture, visible defects, outstanding work and the agreed date of vacant possession. Where a tenant remains, record the lease documents, deposits and who receives rent after completion. ARG can coordinate the parties and collect the final deed, registration evidence and handover documents. This closing file supports later utility changes, insurance, tax reporting and eventual resale.
The asking price is only one part of the commitment. Prepare separate figures for the purchase price, applicable acquisition tax, notarial and registration charges, any VAT treatment, financing charges, translation, professional review and the work required before occupation or letting. Rates and tax bases must be established for the actual municipality and transaction; a general percentage quoted in an advertisement is not a completion statement.
Keep acquisition costs separate from annual ownership expenditure. A condominium may collect management charges, repair-fund contributions or approved extraordinary expenditure. A resort or managed complex may also have a separate contractual maintenance fee. Request the governing documents, recent decisions, account statements and planned works. A low advertised annual fee may exclude an expensive repair already being discussed by owners. Notaries and Notarial Practice Act.
Check building insurance and the responsibilities of the insurer, lender, condominium and individual owner. Empty-property conditions, rental use and unapproved alterations can affect cover. If you will be abroad, designate someone to receive notices and respond to urgent repairs, with a clear spending limit and route for your approval.
Finally, align the money timetable with bank review and contractual deadlines. Funds that exist in an investment portfolio may not be available on the day a deposit is due. Asset sales, currency conversion, transfer checks and loan drawdown conditions each take their own place in the sequence. ARG coordinates a transaction checklist showing the client inputs and third-party dependencies. It helps you distinguish an agreed obligation from an estimate and identify which missing document or payment prevents the next step.
Property ownership and immigration permission are separate legal questions. A non-EU buyer must first qualify to acquire the relevant asset and then meet the selected residence ground. Article 24(1)(19) of the Foreigners Act contains a particular property-investment route. It is not a rule that any owner of a Bulgarian home may live in the country indefinitely or that a purchase grants citizenship.
The statutory investment is BGN 600,000 per applicant, equivalent to EUR 306,775.13 at the fixed conversion rate. The route covers qualifying direct property ownership or a Bulgarian company in which the applicant owns more than fifty percent, contributes the required amount to capital and the company acquires property of that value. At application the required price must be paid through an account with a Bulgarian licensed credit institution; where borrowing financed the property, the unpaid loan must not exceed twenty-five percent under the statutory condition. Foreigners in the Republic of Bulgaria Act. Council Regulation (EU) 2025/1409.
Article 24(1)(20) is a different route: investment in an economically disadvantaged region through qualifying company capital, new tangible or intangible fixed assets and at least five jobs for Bulgarian citizens maintained during residence. Its legacy BGN 250,000 amount converts to EUR 127,822.97, with at least fifty-percent ownership. It should not be described as a cheaper apartment-purchase option: the region, productive investment, jobs and ministry certification are material conditions.
Before reserving a property for immigration purposes, match the applicant, ownership percentage, funding, bank trail and intended transaction to the selected ground. A company purchase can fail the immigration test even where its property title is valid. Family members have their own application route and evidence; one investment does not automatically issue cards to everyone. ARG coordinates property and immigration counsel before contractual commitments, so the buyer knows whether the planned acquisition supports the intended application and which obligations continue afterwards.
An investment application needs a continuous documentary chain. The purchase deed proves the property transaction; company records prove ownership and capital where a vehicle is used; bank evidence proves the payment and funding path. A loan statement must show the relevant outstanding balance rather than only the original amount borrowed. A valuation, reservation agreement or screenshot of an account balance cannot replace every link in that chain.
The Foreigners Act separates the long-stay visa framework under Article 15 from the residence ground under Article 24. Article 24(2) also requires the applicable accommodation, health cover and sufficient-maintenance evidence, with the relevant criminal-record requirement for initial applications. Prepare the consular and Bulgarian stages as a connected file, including passports, legalised or otherwise acceptable foreign documents and Bulgarian translations where required. Foreigners in the Republic of Bulgaria Act.
Allow the bank to complete identification and source-of-funds checks before fixing a payment deadline that assumes immediate transfer. If a family member supplies money, document whether it is a gift or loan and how it reaches the applicant or company. If a company is the purchaser, align capital entry, shareholder percentage, payment and property ownership with the chosen residence ground. The immigration file should describe the structure actually implemented, not an earlier plan abandoned during negotiation.
Maintain evidence after approval. Before selling the property, refinancing, reducing the applicant's company holding or changing the job-producing investment, assess the residence consequences. Article 40 provides for withdrawal where relevant legal grounds arise; renewal also requires a supported continuing basis. Record permit expiry, current insurance, address and the documents requiring refresh. ARG coordinates the property, bank and immigration timetable so the client can make later investment decisions with a clear understanding of the permission on which their Bulgarian stay depends.
A Bulgarian power of attorney, пълномощно, allows another person to act in your name within the authority you grant. It does not transfer ownership to that representative. For a property transaction, the form of the authority and its certification must satisfy the requirements for the intended act. Agree the draft with the Bulgarian professional handling the transaction before signing it abroad; a general overseas notarisation may not provide the required certification of both signature and content.
Define the transaction, the property, the permitted price or price limit, payment destination and the actions the representative may take. Decide expressly whether they can amend the contract, receive money, borrow, mortgage, appoint another representative or contract in a potentially conflicting capacity. A wide authority may be convenient but exposes you to commitments you did not intend. A narrow authority can fail if it omits an essential registration or declaration. Notaries and Notarial Practice Act.
Foreign execution requires a country-specific route for authentication and translation. A treaty may remove an apostille requirement; in other cases an apostille or consular legalisation is needed. These formalities authenticate documents or signatures, not the commercial wisdom of the transaction. Arrange originals and certified translations within the completion timetable.
Before use, check that the authority remains effective and has not been revoked. Changes to the property, seller or price may require a new document. ARG coordinates preparation and transmission with the relevant lawyer and notary and keeps the client's substantive decisions separate from the representative's administrative work. Banking providers may require their own mandate or personal identification even where the property signing can proceed by proxy.
Compare the related procedures in this category, including their requirements and the stage at which you need them.
